TERMS OF SALES
General Conditions of Populaire, coffee roaster, Siret number 891 945 982 000 17 (NAF code 5610C), and whose head office is located at 86 rue Voltaire, 93100 Montreuil.
The general conditions of sale described below detail the rights and obligations of Populaire and its client in connection with the sale of the following goods and/or services:

Sale of artisanally roasted coffee in Paris

Coffee entertainment and activities
ARTICLE 1: Acceptance and scope
Any order for goods and/or services implies the unconditional acceptance by the buyer and his full and complete adherence to these general conditions of sale which prevail over any other document of the buyer, except negotiation of conditions between the parties.
ARTICLE 2: Order taking
2.1: Order validation
Any order, to be valid, must be made in writing and confirmed.
Orders are only final when they have been confirmed by the signature of the estimate and the mention "good for agreement", by the legal representative of the customer or any person duly authorized for this purpose and after payment of a deposit stipulated the case applicable on the estimate.
The quote will specify the references of the goods ordered, their nature, their quantity, delivery time and terms of payment.
2.2: Modification of the order
The terms of the orders transmitted to Populaire are irrevocable for the customer, unless written acceptance by us. In this case, Popular will not be bound by the deadlines initially agreed
2.3: Order refusal
In the event that a customer places an order with Populaire, without having paid the invoices for the previous month, Populaire may refuse to honor the order, without the customer being able to claim any compensation, for any reason whatsoever.
ARTICLE 3: Delivery
3.1: Delivery times
Delivery times are given for information and guidance only, these depending in particular on the availability of the goods and the order of arrival of the orders.
Delays in delivery cannot give rise to any penalty or compensation, nor justify the cancellation of the order.
However, if 1 month after the indicative delivery date, the goods have not been delivered, for any reason other than a case of force majeure, the sale may then be canceled as of right at the request of one or the other party, by registered mail with acknowledgment of receipt. The client will then be able to obtain restitution of his deposit to the exclusion of any other indemnity or damages.
In any event, delivery on time can only occur if the customer is up to date with its obligations with regard to Populaire, whatever the cause, and without the customer being able to claim any compensation.
3.2: Terms of delivery
Delivery is made either by direct delivery of the product to the customer, or by simple notice of availability, or by delivery to a shipper or carrier by Populaire.
As part of a direct delivery, the delivery will be subject to the issuance of a delivery note that must be signed by both parties.
3.3: Risks
The transfer of risks on the goods sold by Populaire takes place when the goods are handed over to the carrier or when they leave our premises.
As a result, the goods travel at the buyer's risk and peril, to whom it belongs, in the event of damage, loss or missing items, to make any reservations or to exercise any recourse with the carriers responsible, in accordance with the Article L.133-3 of the Commercial Code (Note: not applicable to international transport).
3.4: Complaints upon receipt
Complaints about the non-conformity of the goods delivered with the goods ordered must be made by registered letter with acknowledgment of receipt or letter delivered by hand against receipt, regardless of the seller's failure.
ARTICLE 4: Return of goods
Any return of goods must be subject to a written agreement between Populaire and the customer.
Any goods returned without this agreement will be made available to the customer and will not give rise to the establishment of a credit note or the reimbursement of the said sum.
The costs and risks of the return are always borne by the customer.
Any accepted return will result, after verification of the returned products at the choice of Populaire, either:

the establishment of a credit note for the benefit of the customer
-
replacement of goods
-
reimbursement of the said sum.
ARTICLE 5: Rates
Any estimate previously established will be valid for a period of 30 days.
Our goods are supplied at the price in effect at the time the order is placed.
The prices are exclusive of tax on the basis of the rates in force.
Any tax, fee, duty or other benefit to be paid in application of French legislation or that of the importing country or a country of transit and any modification of these between the date of the order and that of the invoice are the responsibility of of the acquirer.
Shipping costs are always borne by the buyer, unless the supplier agrees in writing.
ARTICLE 6: Invoicing
Any purchase of goods and services will be subject to invoicing which will be issued upon completion of the sale, in accordance with the provisions of Article L.441-3 of the Commercial Code.
The invoice issued will include all of the products or services provided.
In case of recurring purchases, Populaire will issue an invoice at the end of each month.
ARTICLE 7: Payment
7.1: Terms
Payments will be made in accordance with the deadlines set out in the quote duly accepted by the customer.
Payments will be made under the following conditions:

Payment by bank or postal check payable to Populaire

By bank or postal transfer stipulating the invoice number
7.2: Late payment
Any sum not paid on the due date will give rise to the payment, by the customer, of late payment penalties at the rate of 10%. Pursuant to Article L.441-6 of the Commercial Code, these penalties are payable automatically upon simple request from Populaire.
Also, Popular reserves the right to seize the competent court so that it puts an end to this non-performance, under penalty for each day of delay.
ARTICLE 8: Retention of title
Popular reserves ownership of the goods sold until full payment of their price in principal and interest in accordance with Law No. 80.355 of 12/05/1980.
In the absence of payment of the price on the agreed due date, Populaire will be able to take back the goods, the sale will be automatically resolved if it seems to Populaire and the installments already paid will remain with us in return for the enjoyment of the goods from which the customer will have benefited.
Transfer of risk: The goods will remain the property of our Popular until full payment of their price, but the customer will become responsible for them as soon as they are handed over, the transfer of possession entailing that of the risks. The customer therefore undertakes to take out, as of now, an insurance contract guaranteeing the risks of loss, theft or destruction of the designated goods.
ARTICLE 9: Force majeure
The occurrence of a case of force majeure has the effect of suspending the execution of the contractual obligations of Populaire.
Is a case of force majeure, any event beyond the control of our company and hindering its normal operation at the stage of manufacture or shipment of goods.
In particular, constitute cases of force majeure, total or partial strikes hindering the smooth running of our company or that of one of our suppliers, subcontractors or carriers as well as the interruption of transport, the supply of energy, raw materials or spare parts.
ARTICLE 10: Attribution of jurisdiction
For all disputes relating to sales made by Populaire as well as those relating to the interpretation of the general conditions of sale, only the Commercial Court of Bobigny will be competent.
ARTICLE 11: Applicable law
Any question relating to these general conditions of sale which would not be dealt with by these contractual stipulations will be governed exclusively by French law.
